Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") govern access to and use of Prospex, a LinkedIn outbound automation platform operated by Globussoft ("Prospex", "we", "us", or "our"). By creating an account, connecting a LinkedIn account, or otherwise using Prospex, you agree to be bound by these Terms. If you are using Prospex on behalf of an organization, you confirm you have authority to bind that organization to these Terms.

2. Description of the service

Prospex sources candidate leads from LinkedIn profiles connected to your account, enriches those leads through third‑party data providers, syncs them to your connected CRM, and can engage them through automated email sequences and AI‑placed phone calls. Prospex is provided as a paid, usage‑aligned platform as described on our pricing page.

3. Your LinkedIn accounts

Prospex operates using LinkedIn accounts and session credentials that you provide and control. You are solely responsible for:

• Ensuring each connected LinkedIn account belongs to you or someone who has authorized its use with Prospex;
• Your own compliance with LinkedIn's User Agreement and any applicable platform policies;
• Any consequences to a connected account, including restrictions or suspension, arising from its use with Prospex.

Prospex applies safety measures — dedicated proxies, per‑account fingerprinting, conservative daily activity limits, and automatic pausing on warning signals — to reduce this risk, but we cannot guarantee LinkedIn will not take action against an account, and we are not responsible for such action.

4. Campaigns & acceptable use

You define each campaign's targeting criteria (titles, seniority, industries, geographies, and keywords). You agree not to use Prospex to:

• Target, contact, or store data on individuals in a manner that violates applicable data protection or anti‑spam law;
• Scrape, contact, or store data for any unlawful, harassing, or discriminatory purpose;
• Re‑contact individuals who have opted out or been flagged do‑not‑recontact within Prospex;
• Attempt to circumvent the platform's rate limits, safety controls, or calling‑hours restrictions.

5. Fees & billing

Prospex is billed as a platform fee plus usage‑based charges for connected AI calling minutes, as described on our pricing page. Third‑party API usage (such as enrichment or email delivery) is billed through at the underlying provider's cost. Fees are non‑refundable except where required by law. We may change pricing on notice; continued use after a price change constitutes acceptance.

6. Third‑party services

Prospex integrates with third‑party providers — including Apollo and Hunter for enrichment, SendGrid for email delivery, your connected CRM for lead synchronization, and Sarvam and Deepgram (via Callified) for AI voice and transcription. Your use of Prospex is also subject to the applicable terms of those providers where you connect an account or API key. We are not responsible for the availability, accuracy, or policies of third‑party services.

7. Data ownership

As between you and Prospex, you retain ownership of the lead, campaign, and CRM data you upload or generate through the platform. You grant Prospex a limited license to process that data solely to provide the service. We do not sell your data or your leads' data to third parties.

8. Disclaimers

Prospex is provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose or non‑infringement. We do not guarantee any particular enrichment match rate, call connect rate, or qualification outcome — the figures shown on our marketing pages are typical ranges, not guarantees.

9. Limitation of liability

To the maximum extent permitted by law, Prospex and Globussoft will not be liable for indirect, incidental, or consequential damages, including lost profits or lost data, arising from your use of the service, including any action taken by LinkedIn or another third party against a connected account.

10. Termination

You may stop using Prospex and disconnect your accounts at any time. We may suspend or terminate access for breach of these Terms, including misuse that puts other customers' accounts or our infrastructure at risk. On termination, campaign automation stops and connected LinkedIn sessions are disconnected.

11. Changes to these terms

We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date above. Continued use of Prospex after changes take effect constitutes acceptance of the revised Terms.

12. Governing law

These Terms are governed by the laws of India, without regard to conflict‑of‑law principles, unless otherwise agreed in a signed order form.
